End User License Agreement

The terms on which you may use Sapphire Legal software.

This End User License Agreement (the “Agreement”) is between you and Sapphire Legal and governs your use of the Sapphire Legal software, including the Sapphire Legal add-in for Microsoft Word and Microsoft Outlook (together, the “Software”). By installing or using the Software you agree to these terms. If you do not agree, do not install or use the Software.

This Agreement covers the Software itself. Your use of the Sapphire Legal service is governed by our Terms of Service, and our handling of data is described in our Privacy Policy.

Licence granted

Subject to your compliance with this Agreement and to a current subscription, Sapphire Legal grants you a non-exclusive, non-transferable, revocable licence to install and use the Software for your internal business purposes, for as long as that subscription remains in effect.

What you may not do

  • Copy, distribute, sell, sublicense or lease the Software to anyone else.
  • Reverse engineer, decompile or disassemble the Software, except where that restriction is prohibited by law that applies to you.
  • Remove or obscure any proprietary notices in the Software.
  • Use the Software to break the law, to infringe someone else’s rights, or to attempt to gain unauthorised access to any system.
  • Use the Software to build or train a competing product, or to benchmark it for publication without our written consent.

A subscription is required

The Software is a client for the Sapphire Legal service and does not function on its own. Using it requires a current Sapphire Legal subscription, which is purchased separately. If your subscription ends, your licence to use the Software ends with it.

Your content

You keep all rights in the documents, email and other content you process with the Software. We claim no ownership of it. We process that content only to provide the service to you, as described in our Privacy Policy.

The Software does not give legal advice

This is important, and it is a condition of using the Software. Sapphire Legal produces analysis, comparisons and suggested language to assist a qualified professional. It does not practise law and does not give legal advice. Its output is not a substitute for the judgement of a lawyer, and it may be incomplete or wrong.

Benchmark and comparison language shown by the Software is drawn from real executed agreements and is not attorney-reviewed. It represents one party’s negotiated position and not a settled market standard. You are responsible for reviewing everything the Software produces before relying on it or delivering it to a client.

Third-party platforms

The add-in runs inside Microsoft Word and Microsoft Outlook. Your use of those products is governed by your agreement with Microsoft, not by this Agreement. Sapphire Legal is not responsible for the Microsoft software or for changes Microsoft makes to it.

Updates

We may update the Software from time to time, including to fix defects or add capability. Updates are covered by this Agreement unless we say otherwise when we provide them.

Warranty disclaimer

To the fullest extent permitted by law, the Software is provided “as is” and “as available”, without warranty of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Software will be uninterrupted or error-free, or that its output will be accurate or complete.

Limitation of liability

To the fullest extent permitted by law, Sapphire Legal will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profit, revenue, data or goodwill, arising out of or relating to the Software. Our total liability arising out of or relating to the Software will not exceed the amount you paid for the subscription in the twelve months before the event giving rise to the claim.

Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under the law that applies to you.

Termination

This Agreement continues until terminated. It ends automatically if you breach it, and it ends when your subscription ends. On termination you must stop using the Software and remove it from your systems. The sections on your content, warranty disclaimer, limitation of liability and governing law survive termination.

Governing law

This Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the courts located there.
